SpaceX disclosed in an October 22, 2026, SEC filing that any merger with Tesla would need approval from its special committee, board and controlling shareholder, Elon Musk. The deal remains a proposal, and Musk controls roughly 85% of SpaceX’s voting power despite recusing himself from both companies’ special committees.
Tesla shareholders would also have to approve the deal with votes representing at least 50% of all outstanding shares, not merely a majority of votes cast. A vote is expected at or near Tesla’s December 3 annual meeting. Reuters reported that Musk’s public endorsement had complicated the committees’ ability to negotiate independently.
