Uniswap Criticizes SEC’s DeFi Regulation Efforts

Uniswap Labs has issued a strong rebuttal against the SEC’s Wells notice, labeling the agency’s DeFi regulation attempts as misguided and legally flawed. The response was detailed in a May 20 blog post, asserting Uniswap’s confidence in prevailing if litigation ensues.

Uniswap Labs argues that the SEC’s legal claims have been repeatedly refuted and that the agency should support open-source technologies rather than litigate them. Highlighting the Uniswap Protocol’s alignment with the SEC’s mission, the company defends its decentralized exchange (DEX) as a transparent, low-cost innovation enabling direct transactions without centralized intermediaries.

Uniswap Labs equates its token standard to a general file format, like a PDF, asserting that the protocol is predominantly used for non-securities transactions. They refute the SEC’s claim that the UNI token is an investment contract, emphasizing it was distributed without profit expectations.

Chief Legal Officer Marvin Ammori expressed confidence in their legal standing, noting that similar arguments have been dismissed in court. Uniswap has enlisted top-tier legal representation, including former SEC and US Solicitor General officials, to bolster their case.
