Meta announced non-voting Class C shares to help fund AI development, infrastructure and acquisitions without reducing Mark Zuckerberg’s voting power. Existing Class A and Class B shareholders are scheduled to receive one Class C share for each share they hold on January 19, 2027; the distribution will not change their voting power. Meta has not disclosed the size or timing of any potential Class C offering, and its chief financial officer said a separate $700 billion fundraising estimate under the current share structure was theoretical, not an approved plan.
Meta expects capital spending of $135 billion to $145 billion in 2026 as it builds AI infrastructure.
