Meta’s Non-Voting AI-Funding Stock Preserves Zuckerberg’s Control

Meta’s board approved non-voting Class C stock on October 19, 2026. Class A and Class B holders are to receive one Class C share per share in a distribution that works like a two-for-one split without changing voting power. The shares take effect January 19, 2027, but the board had not set the dividend’s record or payment dates; payment must follow within five business days of that effective date.

The structure could let Meta sell shares without reducing Mark Zuckerberg’s voting control, but Meta has not announced an equity sale or disclosed its size or timing. Although a filing described forecasts involving “hundreds of billions of dollars,” CFO Susan Li said that figure was a theoretical maximum, not Meta’s present financing needs or plans. Under a separate agreement, Zuckerberg can freely sell only 20% of the Class C shares he receives; selling the rest generally requires a matching sale or conversion of voting shares.
