Standard Chartered signed definitive agreements to acquire Zodia Custody’s regulated operating entities, the bank said. The acquisition is not complete: it remains subject to regulatory approvals and closing conditions. The agreements follow a non-binding offer that Zodia’s shareholders accepted in May.
Under the deal, Standard Chartered would acquire all of Zodia Custody UK Limited, parent of regulated entities in Singapore, Hong Kong, Australia, Luxembourg and the United Arab Emirates. Zodia’s crypto custody business would join the bank’s Securities Services operations, while its software and professional-services assets would move to Zodia Solutions, an independent entity under SC Ventures.
