SEC Filing Boosts Hyperliquid Strategies by $1.5B

Hyperliquid Strategies Expands Equity Facility by $1.5 Billion

  • Hyperliquid Strategies increased its Chardan equity facility from $1 billion to $2.5 billion, providing an additional $1.5 billion in fundraising capacity.
  • As of June 30, the company had issued approximately 76.06 million PURR shares, raising $646.6 million at an average price of about $8.70 per share.
  • The amendment includes a clause limiting shares issued below $12.02 per share to no more than approximately 42.6 million shares, requiring a shareholder vote for any excess.
  • PURR closed at $11.36 on September 1, down by 7.3%, remaining below the reference price of $12.02.
  • Hashdex added HYPE tokens to the Nasdaq CME Crypto Index ETF on the same day as the SEC filing.

The expansion of Hyperliquid’s equity facility allows for increased flexibility in fundraising without immediate financial commitment, while also imposing limits on potential dilution for existing shareholders once sales exceed $1 billion.

With approximately $353 million still available under the original facility and a new ceiling established, investors should monitor PURR’s price relative to the critical threshold of $12.02 to gauge potential dilution risks.(Source)
